CCC Web Development International Web Marketing Agreement for the provision of web based services and client services agreement.

Background

  1. CCC Web Development is in the business or Web Site design, development, hosting, marketing and management and offers to its clients various services and combinations of services with respect thereto on various terms and conditions (the Services)
  2. The Client wishes to enter into an agreement with CCC Web Development for the provision of the Services selected by the Client
  3. The Client agrees to be bound by the terms and conditions of this agreement.

Operative Part

  1. Services provided by CCC Web Development

    CCC Web Development shall provide the Services and Support Services to the client

  1. Duration of this Agreement

    Unless otherwise terminated in accordance with provisions of this agreement, this agreement will remain in force and effect.
    A. For all products this agreement can be terminated by the Client at any time once all upfront fees have been paid. 1 month's notice must be given.

  1. Continuation of this Agreement

    Unless the client advises CCC Web Development of its wish to terminate this agreement this agreement will continue to remain in full force.

  1. Fees and Charges. The Client shall be required to pay the charge for the Services selected.
    1. Payment for services shall be:
      • Any upfront payments selected by the Client
    1. Monthly Fees. This fee is to be paid by direct debit from the Client's nominated credit card.
      • This fee is deducted each Calendar month on the specified date that the Client originally signed up and will continue to be debited until the Client gives notice or the contract period expires.
      • CCC Web Development reserves the right to increase Monthly fees every 12 months of the Client contract; the annual increase shall not exceed 6% per annum.
      • Monthly Fee also covers all small changes to client products by CCC Web Development, small being no more than 30 minutes per item required.
    1. Non Payment of Fees. In the event that the Client falls into arrears with respect to the monthly fees, CCC Web Development reserves the right to terminate or suspend services until such a time as payments are brought up to date.
  1. Obligations of the Client. The Client shall:
    1. Provide in a timely manner, such information as CCC Web Development may require of it.
    2. Co-operate with CCC Web Development in the design, control and management of website.
    3. Maintain the information on the website in strict accordance with applicable laws and which does not violate the rights of any 3rd party.
    4. Be responsible for database content.
    5. Indemnify CCC Web Development against all loss, costs expenses, demands and liability whatsoever and howsoever.
  1. Obligations of CCC Web Development. CCC Web Development shall:
    1. Provide the client with the services selected
    2. Attend to reasonable requests of the client as expeditiously a possible.
    3. Ensure that the website functionality is maintained in a proper and functioning order.
    4. Provide the client with training appropriate to the package of Services selected by the Client
  1. Intellectual Property
    1. Intellectual Property and data contained on the Clients Website shall rest with the Client.
    2. Intellectual Property in the Management software, technical backend, formulae, drivers, templates, Data Structures, Algorithms shall rest with CCC Web Development.
  1. Plan Limits
  • If Client goes over plan limits then Client shall be charged at $1 per GB of excessive bandwith or diskspace usage.
  • There is a maximum of 4 design drafts, so 3 revisions for changes only after the initial design draft, extra revisions for changes or new design draft after the fourth draft will incur additional charges.
  • Design will cover home page design only, all sub pages will reflect the look and feel of the Home page, there will be additional charges for other pages that need individual design that is different to the Home Page.
  • Flash and images are not included in the price, if images and/or flash are required there would be additional charges.
  • Website text must be provided in word document format, all additional files, images and any other content other than text must be provided as separate attachments. There are 2 revisions once content has been added. Once content has been revised twice any further changes or alterations will be charged for unless changes required were not done correctly from the revisions. Adding content is restricted to 50 pages for a standard CMS site. Above 50 pages will be charged for.
  • Online Forms will not be created by CCC Web Development in the included setup cost. Online Forms can be created by users with the Form Creator provided with the CMS site. If a form cannot be done with the Form Creator and needs to be developed by CCC Web Development, there would be an additional charge.
